Ten Letters Website Terms of Use

These Website Terms of Use ("Terms") govern your access to public websites operated by Ten Letters, Inc. ("Ten Letters," "we," or "us") that link to these Terms, including public informational pages concerning SchemaTMS (collectively, the "Sites").

These Terms apply to the Sites only. Use of the SchemaTMS application is governed by the SchemaTMS Master Subscription Agreement, an accepted Order, or another written agreement between Ten Letters and the applicable customer.

By using the Sites, you agree to these Terms. If you do not agree, do not use the Sites.

1. Permitted Use

Ten Letters grants you a limited, revocable, non-exclusive right to view and use the Sites for lawful informational and business purposes. You may not:

  • interfere with the Sites or attempt to bypass security or access controls;
  • introduce malicious code or use the Sites for unlawful, fraudulent, or infringing activity;
  • scrape or systematically extract Site content, including for training a machine-learning model, without written permission;
  • frame, mirror, or misrepresent the Sites or their source; or
  • use Ten Letters' names, trademarks, or content in a way that suggests sponsorship or endorsement.

2. Intellectual Property

The Sites and their content, including text, designs, graphics, logos, product names, and software, are owned by Ten Letters or its licensors and are protected by intellectual-property laws. Ten Letters, SchemaTMS, and associated names and logos are trademarks of Ten Letters. Except for the limited right above, no rights are granted to you.

3. Feedback

If you voluntarily provide an idea, suggestion, or feedback concerning the Sites or Ten Letters' products, you allow Ten Letters to use it without restriction or compensation. This does not give Ten Letters ownership of confidential information or Customer Data submitted through SchemaTMS.

4. Third-Party Services and Links

The Sites may link to or use services operated by third parties. Ten Letters does not control and is not responsible for third-party content, availability, terms, or privacy practices. A link does not imply endorsement.

5. Privacy

The Ten Letters Privacy Notice explains how Ten Letters handles personal information associated with the Sites, business contacts, and SchemaTMS. If you submit information concerning another person, you represent that you are authorized to do so.

6. No Professional Advice

Site content is general information and is not legal, regulatory, certification, compliance, or other professional advice. Product descriptions do not represent that use of SchemaTMS will satisfy a particular law, standard, audit, or regulatory requirement.

7. Disclaimers

The Sites and their content are provided as-is and as-available. To the maximum extent permitted by law, Ten Letters disclaims all express and implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted, secure, or error-free operation.

8. Limitation of Liability

To the maximum extent permitted by law, Ten Letters and its officers, directors, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the Sites. Ten Letters' total aggregate liability arising from the Sites will not exceed one hundred United States dollars (US $100). These limitations do not apply where prohibited by law.

9. Indemnification

You will defend and indemnify Ten Letters against a third-party claim arising from your unlawful use of the Sites or material violation of these Terms. This obligation does not apply to the extent the claim was caused by Ten Letters.

10. Changes

Ten Letters may update these Terms by posting a revised version with a new effective date. Changes apply prospectively. Prior versions will be retained.

11. Governing Law and Venue

Michigan law governs these Terms without regard to conflict-of-law rules. Any dispute concerning the Sites must be brought in the state courts located in Oakland County, Michigan, or the United States District Court for the Eastern District of Michigan. You and Ten Letters waive a jury trial to the extent permitted by law.

12. General Terms

If a provision is unenforceable, it will be modified only as much as necessary and the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver. These Terms are the entire agreement concerning use of the public Sites, but they do not replace an agreement governing SchemaTMS or another Ten Letters service.
